Sustainability Software Provider Diginex to Combine with Customer Engagement AI Company Resulticks in $1 Billion Deal

ESG, sustainability, and compliance solutions provider Diginex announced an agreement to acquire AI-powered customer engagement solutions provider Resulticks, in a deal described by the companies as aimed at creating an enterprise intelligence platform to help organizations measure and communicate their impact and to build deeper customer trust, strengthen brand loyalty and drive sustainable growth.

While Diginex is acquiring Resulticks, the combined entity will be 86% owned by Resulticks’ founders and shareholders. The companies had originally announced an agreement in April 2026 in a deal valuing Resulticks at $1.5 billion, with Diginex to issue 1.13 billion shares at $1.32 per share. Diginex’ valuation has declined over the past months, with the company carrying out an 8-for-1 share consolidation. Under the revised terms, Diginex has agreed to issue 600 million shares at an agreed upon price of $1.75 per share (post-consolidation), valuing Resulticks at $1.05 billion.

London-based Diginex provides ESG, sustainability and compliance solutions through an integrated platform, with offerings spanning reporting, carbon accounting, data and investment intelligence, supply chain risk and traceability and human rights remediation. The company has made a series of acquisitions over the past year, including carbon accounting platform Plan A, supply chain human rights advisory The Remedy Project, ESG data company Matter, and supply chain risk monitoring platform Findings.

Based in Singapore, Resulticks provides solutions enabling brands to unify customer data from across their organizations, orchestrate communications across channels, and make real time business decisions through AI-powered intelligence and analytics.

According to the companies, the combination will result in the creation of an enterprise intelligence platform spanning customer data and sustainability data, positioning the combined entity at the intersection of powerful trends, including the rising demand for trusted sustainability leadership and the increasing use of AI to deliver personalized, real-time customer experiences. In addition, Diginex and Resulticks noted the complementary geographic footprints of the companies, including Resulticks’ presence across North America, Asia and the Middle East and Diginex’s base in London and Europe.

Diginex Chairman Miles Pelham said:

We also know that a staggering 76% of consumers would cease buying from firms that neglect ESG practices and therefore, the integration with Resulticks marks a natural progression of our journey.”

In addition to the new agreement, Diginex recently announced that it has secured $70 million in private funding commitments to complete financing for the combined business, which will include investments of $20 million into Diginex and $50 million into Resulticks. The companies said that the funds are intended to support the operations, integration plans and growth of the enlarged group.

Following the completion of the acquisition, Redickaa Subrammanian, Co-Founder & CEO of Resulticks, will be appointed Chief Executive Officer of the combined company. Additionally, Miles Pelham will step down as Chairman and the Diginex board of directors will be reconstituted at completion, with new directors designated by Resulticks’ shareholders.
